Terms and Conditions

Invoices

The Business will invoice the Client after completion of milestone(s) or the Project, unless otherwise noted in the Payment schedule. The Client agrees to pay invoice(s) by the due date(s) specified. Unpaid or overdue invoices may result in suspension or termination of the Project.

Payment methods

Payment will be made to the Business via cash, check, an approved payment card, or by any other payment method determined by the Business.

Expenses

Client will reimburse the Business for reasonable expenses incurred by the Business in the provision of services under this Contract.

Confidentiality

Confidential information (the "Confidential Information") refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.

The Business agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Business has obtained, except as authorized by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.

Capacity/Independent Contractor

In providing the Services under this Agreement it is expressly agreed that the Business is acting as an independent contractor and not as an employee. The Business and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service. The Client is not required to pay, or make any contributions to, any social security, local, state or federal tax, unemployment compensation, workers' compensation, insurance premium, profit-sharing, pension or any other employee benefit for the Business during the Term. The Business is responsible for paying, and complying with reporting requirements for, all local, state and federal taxes related to payments made to the Business under this Agreement.

Right of Substitution

Except as otherwise provided in this Agreement, the Business may, at the Business 's absolute discretion, engage a third party sub-contractor to perform some or all of the obligations of the Business under this Agreement and the Client will not hire or engage any third parties to assist with the provision of the Services.

In the event that the Business hires a sub-contractor:
• the Business will pay the sub-contractor for its services and the Compensation will remain payable by the Client to the Business.
• for the purposes of the indemnification clause of this Agreement, the sub-contractor is an agent of the Business.

Autonomy

Except as otherwise provided in this Agreement, the Business will have full control over working time, methods, and decision making in relation to provision of the Services in accordance with the Agreement. The Business will work autonomously and not at the direction of the Client. However, the Business will be responsive to the reasonable needs and concerns of the Client.

Exclusivity

The Parties acknowledge that this Agreement is exclusive and that the Client, during the Term, is not free to engage or contract with third parties for the provision of services similar to the Services.

Indemnification

Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement.

Modifications

The Client and the Business must agree to any changes to this contract in writing.

Time of the Essence

Time is of the essence in this Agreement. No extension or variation of this Agreement will operate as a waiver of this provision.

Assignment

The Business will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the prior written consent of the Client.

Client will review work

The Client promises to review the work product, to be reasonably available to the Business if the Business has questions regarding this project, and to provide timely feedback and decisions.

Licensing

The Business promises that it holds all licenses necessary to perform the work, that such licenses are valid and effective as of the date any work is performed or services provided, and that all work performed or services provided will be done in compliance with all applicable federal, state, or local laws and regulations.

Refunds (Goods)

The Client will be assumed to have accepted the Goods unconditionally unless a claim that the Good(s) are defective, no longer needed or wanted is made within 14 days from the date of delivery

No refunds (Services)

The Client will be assumed to have accepted the Service(s) unconditionally unless a claim that the Service(s) are insufficient is made within 3 days from the date of services rendered.

Authority to sign

Each party has the authority to enter into this Contract and to perform all of its obligations under this Contract.

No Guarantees on Purchased Livestock

The Business does not directly sell or hold any livestock. The Business purchases livestock from a third party and delivers directly to the Client. Any guarantees are held through the purchasing entity, not the Business.

Not Responsible for Livestock Deaths

In rare occasions, livestock will die in between service visits. The Business is not responsible for any deaths that may occur in between service visits.

Customer assumes the risk

I am aware of the highly contagious nature of COVID-19 and the risk that I may be exposed to or contract COVID-19 by allowing the business on my Premises and engaging in the Activity.

I acknowledge that I am voluntarily allowing the business to enter my Premises to engage in the Activity with knowledge of the danger involved. I hereby agree to accept and assume all risks of personal injury, illness, disability, or death related to COVID-19, arising from the business being on my Premises or engaging in the Activity, whether caused by negligence of the Business or otherwise.
